REPRESENTATION
Robert S. Plott represents and advises a broad range of clients on a variety of corporate and business related matters. Mr. Plott serves as primary counsel to multiple business clients with annual revenues exceeding $100 million, in addition to regularly advising smaller clients and start-ups on issues ranging from choice of entity to financing.
The firm represents clients in all types of corporate matters, including:
- Analyzing various formation structures and their potential tax implications
- Formation of Alabama and Delaware corporations, limited liability companies and limited partnerships
- Negotiation and drafting of operating, buy-sell and partnership agreements
- Assisting and advising clients on corporate reorganizations, including recapitalizations, conversions and mergers
- Tax analysis and planning
- Drafting joint venture agreements
- Formation and representation of tax-exempt entities and their board of directors, including 501(c)(3) submittals
- General business, legal and tax advice and counsel on a broad range of topics, including corporate governance and intellectual property
- Advising on and implementing business succession plans
- Representation of clients in the negotiation and consummation of the acquisition or disposition of all or part of their business interests
